Terms of Service

These Terms of Service ("Terms") set forth the conditions for using MVV Insights ("the Site"). By using the Site, users ("Users") agree to comply with these Terms.

1. Application

These Terms apply to all relationships between Users and the Site regarding the use of the Site. The Site may establish additional rules regarding usage. Such rules shall constitute part of these Terms.

2. Prohibited Activities

Users shall not engage in the following activities when using the Site:

  • Activities that violate laws or public order and morals
  • Activities related to criminal acts
  • Activities that destroy or interfere with the functions of the Site's servers or networks
  • Activities that may interfere with the operation of the Site's services
  • Unauthorized access or attempts thereof
  • Activities that infringe upon the intellectual property rights, portrait rights, privacy, honor, or other rights or interests of the Site or third parties
  • Other activities deemed inappropriate by the Site

3. Suspension of Service

The Site may suspend or interrupt all or part of the Site without prior notice to Users if it determines that any of the following circumstances exist:

  • When performing maintenance or updates to the Site's systems
  • When the provision of the Site becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
  • When computers or communication lines are stopped due to accidents
  • When the Site otherwise determines that provision of the Site is difficult

The Site shall not be liable for any disadvantages or damages incurred by Users or third parties due to the suspension or interruption of the Site.

4. Copyright

Users shall not reproduce, transmit, publish, distribute, broadcast, or otherwise allow third parties to use or provide information obtained through the Site without prior consent from the Site.

5. Nature and Accuracy of Content

5.1 AI-Based Data Processing

Some of the content published on the Site is generated by automatically extracting, analyzing, and summarizing publicly available information—such as IR reports, ESG reports, and securities filings published by companies—using artificial intelligence (AI) technology.

5.2 Human Review and Its Limitations

The Site maintains a process of human review and proofreading for content generated through AI processing. However, this does not guarantee that all errors or inaccuracies have been completely eliminated. Due to the inherent characteristics of AI technology, misinterpretation of source materials, incorrect extraction of numerical data, or misunderstanding of context may occur.

5.3 Limitations on Use of Information

The information published on the Site is intended for general informational purposes only and is not intended to serve as the sole basis for any investment decisions, management decisions, or other decision-making. The Site does not engage in investment advisory services, investment management, or any other financial instruments business as defined by the Financial Instruments and Exchange Act of Japan, nor does it recommend the purchase or sale of any specific securities or financial products. The information on the Site reflects the state of affairs at the time of publication and may not reflect subsequent changes. When making important decisions, Users should always verify the original primary sources and consult with qualified professionals as necessary.

5.4 Citation of Third-Party Information

The corporate information published on the Site is based on materials publicly disclosed by the respective companies. The copyright of such information belongs, in principle, to the respective companies or original authors. The Site organizes and provides publicly available information with proper attribution of sources, within the scope of legitimate purposes such as reporting, criticism, and research.

6. Disclaimer of Warranty and Limitation of Liability

The Site does not expressly or impliedly warrant that the Site is free from defects in fact or law (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, rights infringement, etc.).

In particular, content generated using AI technology, including errors arising from third-party AI technologies used by the Site, may contain information that differs from fact due to technical limitations, and Users shall use such information at their own responsibility.

The Site shall not be liable for any damages incurred by Users arising from the Site, except in cases of intentional or gross negligence on the part of the Site. However, this disclaimer shall not apply if the contract between the Site and the User constitutes a consumer contract as defined by the Consumer Contract Act.

7. Changes to Service Content

The Site may change the content of the Site or discontinue the provision of the Site without notice to Users. The Site shall not be liable for any damages incurred by Users due to such changes.

8. Account Features

The Site does not currently offer account registration, login, or other account features. Account features may be implemented in the future. When account features are introduced, these Terms will be revised to include the necessary provisions.

9. Changes to Terms of Service

The Site may change these Terms if deemed necessary. When changing these Terms, the Site shall publicize the content of the revised Terms and the effective date on the Site. If the changes are consistent with the general interests of Users, or if the changes are reasonable and not contrary to the purpose of these Terms, the revised Terms shall apply as of the effective date. Use of the Site after the effective date shall be deemed as consent to the revised Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by Japanese law. Any disputes arising in connection with the Site shall be subject to the exclusive agreed jurisdiction of the court having jurisdiction over the location of the Site's head office.
